Terms of service.
The rules for using vivanet.in and engaging us for work. Short where we could be short; precise where we had to be.

Agreement
By using vivanet.in or engaging Vivanet for any service (together, the “Services”), you agree to these terms. If you're agreeing on behalf of a company, you confirm you have the authority to bind that company.
These terms govern your use of the website. Service engagements (Talent, Delivery Pods, Build-Operate-Transfer, and anything else we do for you) are governed by a separately signed Statement of Work or Master Services Agreement, which takes precedence over anything on this page where they conflict.

- Delivery pods for scoped engineering outcomes
- Build-Operate-Transfer for India-based engineering teams

Intellectual property
Website content
All content on vivanet.in — text, graphics, logos, icons, images, code, and the arrangement of them — is owned by Vivanet or our licensors and protected by Indian and international copyright, trademark, and other IP law. The Vivanet name and marks are our trademarks; don't use them without written permission. You get a limited, non-exclusive, non-transferable, revocable licence to view the site for personal and legitimate business evaluation.
Service engagements
IP in deliverables depends on which engagement model you're using. The signed agreement for the engagement is the authoritative version and supersedes this page where they conflict.
- Talent (permanent and contract-to-hire). Vivanet is the placement provider; the engineer joins your organisation or works under your direction. IP in work the engineer produces belongs to you under their employment or contractor agreement — directly for permanent placements, and assigned forward to you via the Statement of Work for contract-to-hire.
- Delivery Pods. IP in the final deliverables transfers to you on full payment of fees for the relevant phase. Vivanet retains ownership of pre-existing tools, libraries, frameworks, and generalised know-how brought to the engagement, and the right to use residual skills and techniques learned in general practice. Third-party and open-source components stay subject to their original licences.
- Build-Operate-Transfer. During Build and Operate, outputs produced by the dedicated team are assigned to you under back-to-back agreements with the engineers. On Transfer, employment contracts move to your entity, together with assignable Vivanet-owned tooling specifically created for your team, as defined in the BOT Master Services Agreement.
Confidentiality
Information shared between us in the course of an engagement — your product plans, technical details, financials, personnel information — is treated as confidential and not disclosed to third parties except where required by law or where you've explicitly agreed. This obligation outlives the end of the engagement.
Disclaimers
The site is provided “as is” and “as available”. Vivanet makes no warranty — express or implied — about the site's uninterrupted availability, accuracy, or fitness for a specific purpose, beyond those warranties that cannot be excluded by law.
Content on the site is for informational purposes only. Don't make material business decisions based on marketing copy; make them based on a signed engagement and the written scope within it.
Limitation of liability
To the maximum extent permitted by applicable law, Vivanet, its directors, employees, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profit, revenue, data, or business opportunity — arising out of your use of the site or the Services.
Direct-liability caps for paid engagements vary by model, as defined in the signed agreement:
- Talent. For permanent placement, aggregate liability is capped at the placement fee paid for the engineer concerned. For contract-to-hire, aggregate liability is capped at the fees paid in the three (3) months immediately preceding the claim. Our 90-day replacement guarantee and its terms are set out in the Statement of Work.
- Delivery Pods. Aggregate liability for claims arising from a pod engagement is capped at the fees paid under the relevant Statement of Work in the twelve (12) months immediately preceding the claim.
- Build-Operate-Transfer. Caps are defined per phase in the BOT Master Services Agreement, typically capped at the fees paid for the applicable phase in the twelve (12) months immediately preceding the claim.
Nothing in these terms excludes liability that cannot lawfully be excluded — including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
Indemnification
You agree to indemnify and hold Vivanet harmless from claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your misuse of the Services, breach of these terms, or infringement of a third party's rights through content you provide to us.
Third-party links and services
The site may link to third-party resources (vendor sites, case studies, articles, candidate portals). We don't control these and aren't responsible for their content, terms, or privacy practices. Visiting them is on you.
Termination
We may suspend or revoke your access to the site at any time if you breach these terms or if we reasonably believe your use is harmful to the site, other users, or us. On termination, the clauses that are meant to survive — IP, confidentiality, disclaimers, liability caps, and governing law — continue to apply.
Governing law and jurisdiction
These terms are governed by the laws of India. Any dispute arising out of or in connection with these terms, including questions about their existence or validity, is subject to the exclusive jurisdiction of the courts at Pune, Maharashtra, India.
Severability
If any provision of these terms is held invalid or unenforceable, that provision is modified to the minimum extent necessary to make it enforceable, or severed if that isn't possible. The remaining provisions continue in full force.
Entire agreement
These terms, together with our Privacy Policy and any signed engagement agreement, form the complete agreement between you and Vivanet about use of the Services. They supersede earlier understandings or representations about the same subject.
Changes to these terms
We may revise these terms. Material changes get a new “Last updated” date and, where meaningful, direct notice. Continuing to use the Services after an update means you accept the revised terms.
